This Terms of Service (“Agreement”) governs the email hosting services provided by Superior Edge New Media Solutions Inc., doing business as eHostAsia (“Provider”), to the subscribing customer (“Client”).
1.1. While we strive to provide continuous and uninterrupted service, we cannot guarantee 100% service availability. By using our services, you acknowledge and agree that there may be circumstances beyond our reasonable control that could affect service delivery.
1.2. We shall not be held liable for any interruption, suspension, delay, or termination of services caused by events beyond our reasonable control (“Force Majeure Events”), including but not limited to:
a) Natural events and disasters
Earthquakes, floods, typhoons, storms, fires, volcanic eruptions, lightning, pandemics, or other acts of nature;
b) Infrastructure and utility failures
Power outages, electrical failures, internet backbone failures, telecommunications outages, routing failures, or failures of third-party networks or service providers;
c) Government or regulatory actions
Government orders, regulatory restrictions, network blocking, internet shutdowns, sanctions, or legal compliance requirements in any jurisdiction;
d) Security and conflict events
War, armed conflict, terrorism, cyberattacks, denial-of-service attacks, hacking incidents, civil unrest, or national emergencies;
e) Third-party provider failures
Failures, interruptions, or service limitations of datacenters, upstream hosting providers, DNS providers, software vendors, or cloud infrastructure partners.
2.1. The Service is provided on a best-effort basis. While we implement reasonable operational, administrative, and security measures, uninterrupted or error-free service is not guaranteed.
2.2. To the extent permitted by law, the Provider shall not be liable for any loss of data, loss of emails, loss of business, loss of profits, missed communications, reputational damage, or any indirect, incidental, special, or consequential damages arising from:
2.3. Nothing in this Agreement excludes liability for fraud, willful misconduct, or gross negligence where such exclusion is not allowed under applicable law.
2.4. For events beyond our reasonable control, including Force Majeure Events and third-party infrastructure failures, the Provider is not obligated to provide refunds, credits, or compensation for service downtime.
2.5. The Client acknowledges that email hosting is a communication convenience service and not a guaranteed message delivery or archival system. The Client remains responsible for maintaining independent backups of important data and communications.
2.6. The total aggregate liability of the Provider, if any, shall not exceed the amount of the Client’s subscription fees paid for the most recent one (1) month of service.
3.1. We will make reasonable efforts to post or send service notices, maintenance advisories, and interruption updates through available communication channels, including email, support portals, or our website, when operationally possible.
3.2. The Client acknowledges that during outages or security incidents, communication systems themselves may be unavailable. Failure to send or receive a notice shall not create liability nor delay the operation of any suspension, termination, or policy enforcement provided in this Agreement.
3.3. Billing invoices, renewal reminders, and account notices sent to the Client’s registered contact email address shall be deemed received once transmitted by our system, regardless of whether the Client actually reads or acknowledges the message.
3.4. The Client is responsible for maintaining a valid and monitored contact email address and for regularly checking billing notices and renewal reminders.
4.1. Following a Force Majeure Event, we will make commercially reasonable efforts to coordinate with our upstream providers and infrastructure partners to restore affected services.
4.2. The Client acknowledges that restoration timelines depend on third-party datacenters, network carriers, software vendors, and other external providers that are not under our direct control.
4.3. We do not guarantee that service restoration will occur within any specific timeframe, nor that all data, configurations, or email contents will be recoverable after a service disruption.
4.4. In certain circumstances, restoration may require service reconfiguration, account recreation, or migration to alternative infrastructure.
4.5. No refunds, service credits, or compensation shall be due for downtime or data loss resulting from Force Majeure Events.
5.1. By creating an account, paying for the Service, renewing a subscription, or continuing to use the Service after notice of these Terms, the Client acknowledges that they have read, understood, and agreed to be bound by this entire Terms of Service.
5.2. Continued use of the Service after any update, notice, or publication of revised Terms constitutes acceptance of the updated Terms.
5.3. These Terms apply to all services provided by the Provider, including but not limited to email hosting, related support services, account administration, and service communications.
5.4. If the Client does not agree to these Terms, the Client must discontinue use of the Service prior to the next billing period.
Our email hosting service is provided strictly on a prepaid monthly subscription basis. Each payment purchases one (1) calendar month of service.
The service is not post-paid, credit-based, or automatically continuing. Continued use of the service depends on timely renewal by payment.
a. Payment must be completed on or before the last day of the current billing period to continue service for the following month.
b. Failure to pay before the end of the billing period shall be interpreted as the Client’s decision not to renew the next prepaid service period.
c. Non-payment does not require a cancellation or termination request. The service simply expires at the end of the paid period.
If the subscription is not renewed:
a. All email accounts will be automatically suspended beginning the 1st day of the following month.
b. During suspension:
Suspension is an automated system action and may occur without additional notice beyond billing reminders.
a. Accounts remaining unpaid will be terminated on the 3rd day of the month.
b. Upon termination, the following may be permanently removed from the system:
c. Deleted data may be irrecoverable.
d. The Client acknowledges that email hosting is not a backup or archival service and agrees to maintain independent backups of important data.
a. Restoration after termination is not guaranteed.
b. If still technically possible, restoration may require:
c. The Provider is not responsible if mailbox contents can no longer be recovered.
The Provider shall not be liable for:
resulting from suspension or deletion due to non-payment or non-renewal of the prepaid subscription.
The Client is responsible for:
Continued use of the service constitutes acceptance of these terms.
The Client acknowledges that email delivery depends on external mail servers, spam-filtering systems, blacklists, and internet routing outside the Provider’s control.
The Provider does not guarantee that any email message will be delivered, received, or stored successfully. Messages may be delayed, filtered, rejected, quarantined, or classified as spam by our system or by third-party systems.
The Provider shall not be liable for loss of business, missed orders, or damages resulting from non-delivery or delayed delivery of email messages.
We may perform system maintenance, upgrades, security updates, or migrations as necessary to maintain the reliability and security of the Service. Such maintenance may result in temporary service interruption without prior notice.
No compensation shall be due for service interruption caused by maintenance activities.
The Client is responsible for maintaining the confidentiality of passwords and account credentials.
The Provider is not liable for unauthorized access, data loss, or account activity resulting from compromised passwords, phishing, malware, or user negligence.
The Client must immediately report suspected unauthorized access.
